1. Acceptance of Terms

By sending any message to the WhatsApp Todo Bot (the “Bot”, the “Service”), you (“User”, “you”) acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must immediately stop using the Service.

Your continued use of the Service after any modification to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

WhatsApp Todo Bot is a personal productivity tool that allows users to manage tasks via WhatsApp and optionally synchronize those tasks with Google Calendar. The Service is provided by Or Kurtz (“Developer”, “we”, “us”, “our”) as an independent, individually operated project.

THE SERVICE IS PROVIDED STRICTLY ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, without any representation, warranty, or guarantee of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, uptime, or non-infringement.

We do not guarantee that:

The Service will be available at any given time or operate without interruption, errors, or data loss.
Reminders, notifications, or calendar events will be delivered accurately, on time, or at all.
AI-generated task parsing will be correct, complete, or appropriate for your needs.
The Service will meet your specific requirements or expectations.

3. Third-Party Services and Dependencies

The Service relies on the following independent third-party platforms to function:

We have no control over, and accept no responsibility or liability for:

Outages, downtime, rate limits, policy changes, or discontinuation of any third-party service.
Data loss or corruption caused by a third-party platform.
Changes to third-party APIs that reduce, alter, or break the functionality of the Service.
The privacy practices, data handling, or security of any third-party provider.

Using the Service means you also agree to the respective terms of service and privacy policies of all third-party providers listed above. It is your responsibility to review those terms independently.

4. Google Calendar Integration

The Google Calendar integration is entirely optional and is initiated solely at your request. By connecting your Google Calendar, you:

Authorize the Bot to create, update, and delete calendar events on your behalf, exclusively for tasks you manage through the Bot.
Acknowledge that calendar sync operations depend on Google’s infrastructure and may fail, be delayed, or produce unexpected results.
Accept that we are not responsible for any calendar events that are created, modified, deleted, or missed as a result of using the Service, whether due to a software bug, API failure, token expiry, or any other cause.
Understand that you can revoke calendar access at any time by sending "נתק יומן" to the Bot or by revoking access directly in your Google Account Security settings.

5. Acceptable Use

You agree to use the Service only for its intended purpose — personal task management — and in compliance with all applicable laws and regulations. You agree that you will not:

Use the Bot to transmit spam, unsolicited messages, or abusive content.
Attempt to probe, scan, reverse-engineer, or exploit the webhook endpoint or any other component of the Service’s infrastructure.
Use automated scripts, bots, or tools to send messages to the Bot at a rate that circumvents or abuses the rate-limiting system.
Attempt to manipulate, deceive, or “jailbreak” the AI prompt-parsing system to produce unintended or harmful outputs.
Use the Service for any unlawful purpose or in a manner that violates the terms of WhatsApp, Google, or any other applicable platform.
Share access to the Bot’s phone number with third parties in a way that causes others to unknowingly agree to these Terms on your behalf.

We reserve the right, at our sole discretion and without prior notice, to:

Rate-limit, suspend, or permanently block any user who violates these Terms or who abuses the Service.
Report abusive use to the relevant platform providers (Meta, Google) or to law enforcement where required by law.

6. Limitation of Liability

THIS SECTION IS CRITICAL. PLEASE READ IT CAREFULLY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER, OR KURTZ, BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO:

Missed meetings, appointments, deadlines, or events caused by a reminder not being delivered, delivered late, or delivered with incorrect information.
Lost, deleted, corrupted, or incorrectly modified calendar events or tasks, whether in the Bot’s database or in Google Calendar.
Financial loss, lost profits, or business interruption resulting from reliance on the Service for any professional, commercial, or personal obligation.
Direct, indirect, incidental, special, consequential, punitive, or exemplary damages of any nature, even if we have been advised of the possibility of such damages.
Data loss resulting from database failure, hosting provider outage, or any other infrastructure issue.
Actions taken or not taken based on AI-generated output from the natural language parsing or task extraction features.
Inaccurate transcriptions of voice messages leading to incorrectly created tasks or reminders.

THE SERVICE IS A PERSONAL CONVENIENCE TOOL. IT IS NOT DESIGNED FOR, AND MUST NOT BE RELIED UPON FOR, ANY SAFETY-CRITICAL, MEDICAL, LEGAL, FINANCIAL, OR EMERGENCY USE CASE.

In any jurisdiction that does not permit the complete exclusion of liability, our total cumulative liability to you for any and all claims arising from your use of the Service shall not exceed USD $0 (zero dollars), reflecting that the Service is provided free of charge.

7. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

Any warranty that the Service will be uninterrupted, timely, secure, or error-free.
Any warranty regarding the accuracy or reliability of AI-generated content or task parsing results.
Any warranty that defects in the Service will be corrected.
Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

8. Indemnification

You agree to defend, indemnify, and hold harmless the Developer, Or Kurtz, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

Your use of or reliance on the Service.
Your violation of these Terms.
Your violation of any applicable law or the rights of any third party.
Any content or commands you submit to the Bot.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

10. Modifications to the Service and Terms

We reserve the right, at our sole discretion and at any time, to:

Modify, suspend, limit, or permanently discontinue the Service or any feature thereof, with or without notice.
Change pricing or introduce paid tiers in the future (current free access does not constitute a perpetual right to free access).
Modify these Terms at any time by updating the “Last Updated” date at the top of this document.

When material changes are made to these Terms, we will make reasonable efforts to notify active users via the Bot. However, it is your responsibility to review these Terms periodically. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

If you disagree with a modification, your sole remedy is to stop using the Service.

11. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately.

You may stop using the Service at any time. If you wish to have your data deleted, send "מחק חשבון" to the Bot or contact us at orkurtz@gmail.com.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the competent courts located in Israel.

YOU AGREE THAT ANY CLAIM MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Developer regarding your use of the Service and supersede all prior agreements, communications, and understandings, whether written or oral, relating to the Service.
